Welcome to Grateful Events (the “Service”), operated by Grateful Events Inc., an Illinois corporation (“GE,” “we,” “us,” or “our”). By using the Service, including uploading, sharing, or viewing photos (“Content”), you (“User,” “you,” or “your”) agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service.
1. Acceptance of Terms
By using the Service, you confirm you are at least 18 or have legal capacity to enter this agreement. GE may update these Terms, effective upon posting, and continued use constitutes acceptance.
2. Content Ownership and Sharing Rights
2.1 Ownership
You, as the copyright holder, retain full ownership of the Content you upload to the Service. GE claims no ownership, rights, title, or interest in your Content, except as explicitly granted by you in these Terms.
2.2 Limited License to GE
By uploading Content, you grant GE a worldwide, non-exclusive, royalty-free, limited license to host, store, and display the Content solely to facilitate the Service’s functionality (e.g., allowing event hosts to view or access Content as permitted). This license terminates when you delete your Content from the Service, except for any Content already shared with event hosts under Section 2.3.
2.3 Sharing Rights with Event Hosts
By uploading Content, you agree to share certain rights with the event host associated with the event for which the Content was uploaded. Specifically:
- You grant the event host a worldwide, non-exclusive, perpetual, royalty-free license to use, reproduce, and display the Content solely for self-promotional purposes (e.g., on their website, social media, or marketing materials).
- Event hosts may not sell, license, or profit directly from the Content, nor use it for any purpose other than promoting their events or services.
- You acknowledge that event hosts may disseminate the Content for these promotional purposes in perpetuity, provided no commercial sale or profit is derived from the Content.
2.4 GE’s Role
GE is not an intermediary between you (the copyright holder) and event hosts or other users. GE does not dominate, copy, or allow unauthorized use of your Content, nor does it claim ownership, profit from, or act as an intermediary in disputes regarding Content. GE’s role is limited to providing the platform for Content sharing as outlined in these Terms.
2.5 Representation and Warranty
You represent and warrant that:
- You are the sole creator and owner of the Content or have obtained all necessary rights, permissions, and consents to grant the licenses herein.
- The Content does not infringe any intellectual property, privacy, or other legal rights of third parties.
- The Content complies with all applicable laws and these Terms.
3. User Conduct and Content Restrictions
You agree not to upload illegal, obscene, defamatory, or otherwise objectionable Content, or Content containing viruses or violating third-party rights. GE may remove Content at its discretion.
4. Indemnification
You agree to indemnify, defend, and hold harmless GE, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including attorneys’ fees) arising from:
- Your use of the Service;
- Your Content, including any breach of your representations and warranties;
- Your violation of these Terms or applicable law.
Additionally, GE shall not be liable for any claims arising from disputes between you and event hosts or other users regarding Content use, as GE is not an intermediary.
5. Disclaimer of Warranties
The Service is provided “AS IS” without warranties, including merchantability or fitness for a particular purpose. GE does not guarantee uninterrupted, error-free, or secure service.
6. Limitation of Liability
GE’s liability is limited to $100 USD or amounts paid by you in the prior 12 months, whichever is less, for any damages arising from the Service or Content use.
7. Termination
GE may suspend or terminate access for any reason, including Terms violations. Upon termination, licenses to event hosts under Section 2.3 survive, and your obligations (e.g., indemnification) remain.
8. Governing Law and Dispute Resolution
These Terms are governed by the laws of Illinois and applicable federal laws, without regard to conflict of law principles. All disputes arising from these Terms or your Content shall be resolved exclusively through binding arbitration in Pingree Grove, IL, under American Arbitration Association rules, except for injunctive relief sought in court. You waive jury trials and class actions. All state and federal laws shall govern any disputes related to Content ownership, use, or infringement.
9. Digital Millennium Copyright Act (DMCA)
If you believe your copyrighted work is misused on the Service, contact our DMCA agent at [DMCA Agent Email] with required information under 17 U.S.C. § 512(c)(3). Note that rights granted to event hosts under Section 2.3 may limit certain claims.
10. Privacy
Your use is subject to our Privacy Policy.
11. Miscellaneous
These Terms and Privacy Policy form the entire agreement. Unenforceable provisions are severed, and GE’s failure to enforce rights is not a waiver. GE may assign these Terms; you may not without consent.
