Welcome to Grateful Events (the “Service”), operated by Grateful Events Inc., an Illinois corporation (“we,” “us,” or “our”). By accessing or using the Service, including uploading, sharing, or viewing photos (“Content”), you (“User,” “you,” or “your”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

1. Acceptance of Terms
By using the Service, you affirm that you are at least 18 years of age or have the legal capacity to enter into this agreement. These Terms constitute a legally binding contract between you and Grateful Events Inc. We reserve the right to update these Terms at any time, with changes effective upon posting to the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

2. License Grant and Rights Assignment

You retain initial ownership of the Content you upload to the Service, subject to the rights granted herein.

2.2 Perpetual License and Rights Transfer
By uploading Content to the Service, you hereby grant Grateful Events, its affiliates, successors, assigns, licensees, and designees a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, fully paid-up, transferable, and sublicensable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, display, and otherwise exploit such Content in any form, media, or technology now known or hereafter developed, for any purpose, including but not limited to:
Business publications, marketing materials, advertisements, and promotional campaigns;
Internal business uses, product development, and research;
Sharing with third parties, including partners, advertisers, or other users of the Service;
Any other commercial or non-commercial purpose deemed appropriate by Grateful Events.

2.3 Waiver of Rights
To the fullest extent permitted by law, you waive any and all rights, title, or interest in the Content beyond the initial ownership prior to upload, including but not limited to:
Copyright, publicity, privacy, moral rights, or any other intellectual property rights;
Any right to inspect or approve uses of the Content;
Any right to royalties, compensation, or attribution for the use of the Content.
You acknowledge that this waiver is a condition of using the Service and that Grateful Events may use the Content without restriction, attribution, or further consent.

2.4 Representation and Warranty
You represent and warrant that:
You are the sole creator and owner of the Content or have obtained all necessary rights, permissions, and consents from third parties (e.g., photographers, subjects in photos) to grant the licenses and waivers herein;
The Content does not infringe any intellectual property rights, privacy rights, or other legal rights of any third party;
The Content complies with all applicable laws, regulations, and these Terms.

3. User Conduct and Content Restrictions
You agree not to upload Content that:
Is illegal, obscene, defamatory, threatening, harassing, hateful, or otherwise objectionable;
Contains viruses, malware, or other harmful code;
Violates any law, regulation, or third-party rights.
We reserve the right (but not the obligation) to remove or refuse any Content at our sole discretion, with or without notice.

4. Indemnification

Any other matter relating to the Service.
In no event shall our total liability exceed $100 USD, or the amount you paid us (if any) in the preceding 12 months, whichever is less.

7. Termination
We may suspend or terminate your access to the Service at any time, for any reason, with or without notice, including if we believe you have violated these Terms. Upon termination, all licenses granted to us survive, and your obligations (e.g., indemnification) remain in effect.

8. Governing Law and Dispute Resolution
These Terms are governed by the laws of Illinois, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively through binding arbitration in Pingree Grove, IL, conducted under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction. You waive any right to a jury trial or class action.

9. Digital Millennium Copyright Act (DMCA)
